Terms of Service

These terms are an agreement between you and Hyppe Tech LLC (“we”, “us”), which runs Cleat at cleat.so. By creating an account or using Cleat, you agree to them.

1. What Cleat is

Cleat gives you US mobile numbers (“lines”). A Cleat Line receives text messages: texts appear in your inbox and can be forwarded to you by email, Telegram, webhooks or our API. If someone calls a Cleat Line, the call goes to voicemail and its transcript arrives the same way; you can’t answer it or call out from it.

A Cleat Full line also takes calls. They ring in the app, where you can answer them, and you can call US numbers from it, showing the line’s own number. Calls are recorded after a notice and transcribed, as the Privacy Policy explains. Cleat Full can’t call 911, other emergency services, or premium numbers: use another phone in an emergency. No line sends texts yet.

Numbers come from telecommunications partners. We don’t choose area codes, and we can’t promise that a particular company or service will send texts to a Cleat number: some refuse certain numbers, and that’s their decision.

2. Your account

  • You must be at least 18 and give accurate information.
  • An account belongs to one person. Keep your password safe; you’re responsible for what happens in your account.
  • If you invite people to a workspace, they can see every text its lines receive. You’re responsible for who you invite and how they use Cleat.

3. Identity verification

To read the texts a line receives, you verify your identity with a government ID and a selfie, handled by our identity verification provider, Stripe or Didit. You can buy a line before you verify; until you do, it keeps what it receives and shows none of it. We can refuse, pause or remove access to lines if verification fails, looks fraudulent or was done on someone else’s behalf.

4. Billing

  • Each line costs $24.99 a month, or $249.90 a year, plus any applicable taxes, billed in advance through Stripe.
  • A promo code applies only as described when you use it. It has no cash value, and we may end a code before it is used.
  • A subscription renews automatically at the end of each billing period, every month or every year depending on your plan, until you cancel it, which you can do anytime, online, from Billing in your account. The line stays yours until the end of the period you’ve paid for. We show these renewal terms at checkout and repeat them in every invoice email.
  • Payments aren’t refunded for part of a billing period, except where the law requires it. If we can’t set up a line you paid for, we cancel the subscription and refund you automatically.
  • If your identity verification doesn’t pass after you’ve paid for a line and before that line’s first renewal, we cancel its subscription, release its number and refund its first payment in full, automatically. Verification doesn’t pass when our team turns down your ID after review; when the check fails for a reason another attempt can’t fix, such as an unsupported country, being under age, an ID already used by another account or an altered document; or when your last check failed and you have used every check allowed for the current period. This applies only while you have never been verified, and never to a renewal payment.

5. When a subscription ends

When billing for a line ends, we hold its number for 30 days. Texts that arrive during the hold are kept but stay locked until you resubscribe. After 30 days the number is released and may later be given to someone else, who would then receive texts sent to it. Before a line ends, move any account that uses the number to a different one.

6. Acceptable use

You agree not to use Cleat to:

  • break any law, or help anyone else do so;
  • commit fraud, steal or misuse anyone’s identity, or impersonate a person or business;
  • harass, threaten or spam anyone;
  • receive texts meant for someone else without their permission;
  • evade a ban, a sanctions rule or a lawful investigation;
  • resell lines or access without our written permission;
  • make automated, prerecorded or marketing calls, or call numbers in bulk;
  • use a line’s calling for anyone but you or your team;
  • probe, overload or interfere with Cleat, other customers or our partners.

Cleat is for receiving texts on accounts that are yours, or your team’s, in your own name or your business’s. It is not a way to be someone else. In particular, don’t use a line to open, verify or keep accounts in a false name or in someone else’s name; to take payments, run a marketplace or trading account, or move money in a name that isn’t yours; to get around a platform’s rules, its verification, a ban or a country restriction; to receive one-time codes for an account you don’t own; to buy, sell or share access to a line or the codes it receives; or for anything to do with drugs, weapons, sanctions evasion, money laundering, terrorism, child sexual abuse material, or trafficking of any kind.

We may suspend or close accounts that do, without refund where the law allows. Calling may be limited or switched off on a line that does.

7. You are responsible for what your line receives

You decide which accounts and services you point a Cleat line at, and you are responsible for that use and for anyone you invite to your workspace. If a service refuses a Cleat number, or closes your account with them for using one, that is between you and them. We don’t review what a line is used for before the fact, and nothing here is legal advice about whether your use is allowed where you live.

9. Your texts and data

Texts sent to your lines are yours and their senders’, not ours. You let us store, process and forward them only to run Cleat for you. Our Privacy Policy explains what we collect and why.

10. API and webhooks

Keep API keys and webhook secrets private; anyone holding them can read your texts. We apply rate limits and may change the API, giving reasonable notice for changes that break existing integrations.

11. No guarantee of delivery

We work hard to deliver every text quickly, but texts can be delayed or never arrive, and Cleat can be unavailable. Don’t rely on Cleat for emergencies or anything where a missed text could cause serious harm.

12. Ending your account

You can delete your account from Settings once none of your lines is still billing. Deleting it removes the workspaces you own and their texts, for everyone in them. We may suspend or close an account that breaks these terms, or if we have to stop offering Cleat, in which case we’ll tell you in advance where we can.

13. Disclaimers and liability

Cleat is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, including merchantability, fitness for a particular purpose and non-infringement.

To the extent the law allows, we aren’t liable for indirect, incidental, special or consequential damages, or for lost profits, data or accounts, and our total liability for any claim is limited to the greater of $100 and what you paid us in the 12 months before the claim. You’ll indemnify us against claims that arise from your breach of these terms or misuse of Cleat.

14. Affiliate program

  • Anyone with a Cleat account can join. You get one code, which works as a link and as a code customers enter at checkout. A new customer who enters it gets 10% off their first payment.
  • A customer is yours when they create an account from your link within 60 days of following it (where our Privacy Policy lets us remember the link) or pay with your code. A code entered at checkout wins over a link, unless the customer has already earned another affiliate a commission. You can’t earn on your own account.
  • You earn 20% of every payment your customers make to Cleat, excluding taxes, for as long as they pay, unless we agree other terms with you in writing. A refund reverses the commission on the amount refunded. Commissions can be withdrawn 30 days after the payment they come from.
  • Ambassadors. We may invite some affiliates to be ambassadors. An ambassador can hold more than one code and recruit affiliates with a link. If you join through an ambassador’s link (or we place you under one at your or their request), the ambassador receives part of each commission you earn, taken out of your commission rather than paid on top. Your affiliate page shows what you keep before you join and at any time after. The ambassador’s part stops if they stop being an ambassador or their account is suspended.
  • Withdrawals start at $50 and are paid by bank transfer to the account you give us, normally within 30 days of your request. You’re responsible for the accuracy of your payout details and for any bank charges on your side.
  • Self-billing. You agree that Hyppe Tech LLC issues an invoice on your behalf for each payout (a self-billing invoice, numbered in its own series) and that you won’t issue your own invoices for those amounts. You’ll tell us promptly if your legal name, address or tax status changes. Hyppe Tech LLC charges no tax on these invoices: you are responsible for declaring the income and paying any tax due on it where you are.
  • Promote Cleat honestly. No spam, no misleading claims about what a Cleat line can do, no ads on Cleat’s name or bidding on it in search, and no codes posted on coupon or deal sites. We may suspend an account that breaks these rules or shows fraud, and withhold commissions earned that way.
  • We may change or end the program with 30 days’ notice by email; commissions already available stay yours to withdraw.

15. Changes

We may update these terms. If a change is significant, we’ll tell you by email or in the app before it takes effect. Continuing to use Cleat after that means you accept the new terms.

16. Law and contact

These terms are governed by the laws of the United States and of the state in which Hyppe Tech LLC is organized, without regard to conflict-of-law rules. Questions about them: contact@cleat.so.
